These Website Terms are between you and WEFI FORFAITING AND PAYMENTS SOLUTIONS L.L.C, a limited liability company incorporated in the Dubai Department of Economy & Tourism under license no. 1605302 (“WeFi”, “we”, “our” or “us”), and cover your use of and access to WeFi’s website (the “Website”).

These Website Terms will be binding upon you when you access the Website. By accessing and using the Website, you acknowledge that you have read, understood, and agreed to be bound by these Website Terms, as amended from time to time, or supplemented by any additional terms and conditions. If you do not agree with these Website Terms, you must stop using or accessing the Website immediately. If you are using the Website on behalf of a third-party including, but not limited to a business entity, you warrant that you are authorized and have the authority to bind that third party to these Website Terms.

1. Definitions

The following terms are used throughout these Website Terms and have specific meanings.

• “App” means WeFi’s mobile application; 
• “UAE” means the United Arab Emirates; 
• “User”, “you” and “your” collectively mean the person, company, or organization that has visited and/or is browsing and/or using the Website; and
• “User Agreement” means the applicable terms and conditions, policies and/or agreements between WeFi and each person who has signed up to use the App.

2. Website

2.1. The Website primarily provides information about the services, products and features of WeFi and the App. Certain limited functionalities may also be made available via the Website, including enabling Users to sign up for the App by redirecting them to relevant download platforms and allowing Users who have accounts registered with WeFi to log in and access their accounts. Any such access or functionality is ancillary to the App and remains subject to the User Agreement.

2.2. The Website is provided for general informational purposes only. Nothing contained on the Website constitutes, or is intended to constitute, financial, investment, legal, tax or other professional advice.

2.3. Your access to or use of the Website does not, by itself, establish any contractual, fiduciary, advisory, or customer relationship between you and WeFi. However, where you access your account or any App-related functionality via the Website, such access shall be deemed use of the App and shall remain subject to the User Agreement and related terms made available within the App.

2.4. The Website is not directed at, and should not be accessed by, any person in any jurisdiction where the publication or availability of the Website would be contrary to applicable laws or regulations.

3. Eligibility

3.1. You agree and acknowledge that you are solely responsible for all activities and any other actions taken in connection with your use of the Website. If you are requested to provide any information to WeFi, you undertake to provide accurate and complete information and to keep such information updated. We will not be responsible for any liabilities, losses, or damage of any nature and howsoever described which arise out of the unauthorized use of your computer, mobile device, or other computing device and/or your account registered with the App.

3.2. We may suspend access to the Website at any time without notice, including where (i) we reasonably believe that you are in breach of the provisions of the Website Terms or any relevant User Agreement, (ii) we suspect or become aware of illegal activity, (iii) suspension is required by any government authority, court order, or applicable law or (iv) we conduct maintenance measures that ensure the proper or improved functioning of the Website.

3.3. We reserve the right to require you to install and/or update any and all software updates to continue using the Website. Failure to comply with any such requirement may lead to restricted access to the Website.

4. Changes to the Website Terms

4.1. You agree that WeFi may amend these Website Terms from time to time and in WeFi’s sole discretion. Although WeFi will usually notify you of any amendment to these Website Terms, WeFi will not be required to provide you with prior notification of such amendments or changes to these Website Terms.

4.2. Upon any amendment or change to these Website Terms, WeFi will publish the amended Website Terms on a dedicated link available on the Website. Your continued use of the Website after the publication date of a revised version of these Website Terms constitutes your acceptance of the amended terms.

4.3. You agree and undertake to review our Website Terms each time you visit our Website. If you do not agree to our Website Terms, as updated from time to time, you undertake to cease using our Website immediately.

5. Your Obligations and Undertakings

5.1. You may access and use the Website for lawful, personal, and non-commercial informational purposes only.

5.2. You shall not (i) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any part of the Website in any form or media or by any means; (ii) attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceptible form all or any part of the Website; ; (iii) access all or any part of the Website in order to build a product or service which competes with it; (iv) except to the extent expressly permitted under the Website Terms and/or the User Agreement, use the Website to provide services to third parties; (v) license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit the Website; or (vi) misuse the Website or interfere with its operations.

5.3. You shall not transmit any data through the Website that contains or installs any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of WeFi or any third-party.

6. Intellectual Property

6.1. WeFi retains ownership of all intellectual property rights of any kind related to the Website, including applicable copyrights, database rights, patents, trademarks and other proprietary rights. Other trademarks, service marks, graphics and logos displayed on the Website may be the trademarks of other third parties. Nothing contained on the Website grants you any right or licence to use any such intellectual property without the prior written consent of the relevant owner. WeFi reserves all rights that are not expressly granted to you under these Website Terms.

7. Communications

7.1. We may use email and electronic means to stay in touch with you. You agree and understand that WeFi may send you emails about the present and future services of WeFi and your use of the Website. You may opt out of non-essential communications, as determined by WeFi, by writing to WeFi at help@wefi.pro requesting removal from non-essential mailing lists or by using the 'unsubscribe' links which will be contained in the emails we send to you.

7.2. For contractual purposes, you (i) consent to receive communications from WeFi in an electronic form via the email address you have provided to us; and (ii) agree that all Website Terms, agreements, notices, disclosures, amendments to any of the foregoing, and other communications that WeFi provides to you electronically satisfy any legal requirement that such communications would satisfy if it were in a physical writing or sent by traditional mailing; and (iii) without prejudice to clauses 7.2(i) and 7.2(ii), you undertake to comply with clause 10.5 for any notification to WeFi.

8. Disclaimer of Warranties

8.1.  The Website is provided on an “AS IS” basis and “AS AVAILABLE” basis without any representation or warranty of any kind, whether express or implied.

8.2. WeFi makes no representation or warranty that the information we provide through the Website is accurate, reliable or correct; that the Website will meet your requirements; that the Website will be available at any particular time; that the Website will function in an uninterrupted manner or be secure; that any defects or errors will be corrected; or that the Website is free of viruses or other harmful components. You assume full responsibility and risk of loss resulting from your use of the Website and any information, content, or other material obtained from the Website.

8.3.  The Website may contain links to third-party websites or platforms. WeFi does not control and is not responsible for the content, policies, or practices of any third-party websites.

8.4.  While using the Website, you should use your best judgment and exercise caution where appropriate.

9. Release and Indemnification

9.1.  You agree to indemnify and hold harmless WeFi from and against any and all claims, demands, actions, losses, damages, assessments, charges, third party liabilities, costs and expenses which may arise as a result of (i) your use of the Website or violation of the Website Terms; (ii) any injury, accident, health issues, physical or property damage, loss of profit, property or business reputation, or otherwise that may be caused by you as a result of your use of the Website; (iii) errors, mistakes, or inaccuracies of your content; and (iv) any bugs, viruses, trojan horses, or the like, which may be transmitted by you.

9.2.  You agree that in no event will WeFi be liable, responsible or otherwise, to you or to any third parties for any claims, demands, damages or losses, costs or expenses that may arise out of or in connection with: (i) the failure, interruption or disruption of the Website; (ii) errors, mistakes, or inaccuracies of any content and/or information available on or through the Website; (iii) any unauthorized access to or use of WeFi’s servers and/or any and all personal information stored therein; (iv) any bugs, viruses, trojan horses, or the like, which may be transmitted to or through the Website; (v) any failure or delay in the execution of any transactions through the Website; and (vi) any refund, loss of profits, loss of business reputation (whether incurred directly or indirectly), any injury or accident or physical or property damage or otherwise that may occur to you as a result of the use of the Website. The provisions of this clause 9.2 shall apply, to the maximum extent permitted by law, regardless of the form of action, damage, claim, liability, cost, expense, or loss, whether in contract or otherwise. In the event that any part of this clause is held to violate any applicable law, then WeFi’s liability shall be excluded and/or limited to the maximum extent permitted by that law.

10. Miscellaneous

10.1. Governing Law: The Website Terms and any access to or use of the Website is governed by the laws of the United Arab Emirates. Any dispute which may arise between you and WeFi pertaining to the implementation or interpretation of these Website Terms shall be amicably settled, failing which courts of Dubai shall be the competent authority to settle the same.

10.2. Severability: If any part of these Website Terms is held invalid or unenforceable, that part of the Website Terms will be construed to reflect the parties’ original intent. The remaining portions will remain in full force and effect. Any failure on the part of WeFi to enforce any provision of the Website Terms will not be considered a waiver of WeFi’s right to enforce such provision. WeFi’s rights under the Website Terms will survive any termination of either the Website Terms or your use of the Website.

10.3. Assignability: WeFi may assign or delegate its rights or obligations under the Website Terms, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any of your rights or obligations under the Website Terms without WeFi’s prior written consent, and any unauthorized assignment and delegation by you shall be considered as null and void.

10.4. Notices to you: Notices and any other communications may be transmitted by WeFi to you via the email address provided by you. All communications and notices shall be deemed to be duly served to you when electronically sent by WeFi to such email address.

10.5. Notices to WeFi: Notices and any other communications may be transmitted by you to WeFi at help@wefi.pro. All communications and notices shall be deemed to be received or served (as applicable) to WeFi when electronically received by WeFi at such email ID.

10.6. Interpretation: Wherever used herein and required by the context, the singular number shall include the plural, the plural shall include the singular number, and the use of either gender shall include both genders and the words “hereof” and “herein” and “hereafter” shall refer to the entire Website Terms and not to any provision or section.
